David Powell, Partner in Business Law
David advises clients on all aspects of corporate and commercial law including buying and selling businesses, joint ventures, distribution, agency and franchise agreements and intellectual property matters. David also advises lenders and borrowers in relation to facility and security documentation and the financing of transactions, in particular acting for bridging finance lenders who provide working capital, refinancing and property purchase facilities.
David graduated with an LLB (Hons) in Law from the University of Exeter and subsequently completed the Legal Practice Course at the College of Law in Guildford. He completed his training contract with TWM and qualified as a solicitor in the Business Law department in 2014.
David is a keen sportsman and is gradually bringing his handicap down as a member of Milford Golf Club.
Notable transactions that David has advised on include:
Assisting with the legal aspects of a software development agreement for an international joint venture regarding an IT solution in the defence, health care and finance sectors estimated to be worth US$ 3 billion;
Assisting on the £100 million merger of a property development group with a listed PLC;
Advising a luxury sports car manufacturer, TVR Automotive Limited, on various legal aspects of their new car launch including assisting with the development of a dealership and heritage network, asset sales and purchases of branded spare parts and negotiating an equity investment into the company by the Welsh Government;
Advising several market-leading lenders, including one of the UK’s foremost peer to peer lending businesses, in connection with their facility and security documentation and the financing of working capital, bridging and development transactions, including the drafting of all facility agreements and security documentation such as personal guarantees, debentures and charges on land, shares, intellectual property, book debts, sub-hiring agreements, cash deposits and chattels. In 2017 David assisted private lending clients on deals with an aggregate value of circa £40million.
Advising a management team on all legal aspects in connection with purchasing a portfolio of 120 publishing titles in the energy, finance, legal and intellectual property sectors from an international business-to-business content and connections company including the transfer of all staff;
Advising a British high street cosmetics manufacturer on all legal aspects in connection with their supply and distribution including negotiating an exclusive distribution agreement with a leading healthcare specialist affiliated with the NHS; and
Advising a sole trader in connection with licensing his product and system, protecting his IP and assisting with the development of his business plan with a view to franchising.
