- Acting for a client in the purchase of a controlling interest of a Midlands-based specialist supplier of bulk & cylinder gasses.
- Advising two BVI companies in taking security over UK companies holding Portuguese property for loans made to a Dutch Antilles company in relation to property interests in the development of holiday villas in Portugal.
- Advising on the acquisition of rehearsal and recording studios in Leatherhead and on the studio’s acquisition of a business hiring public address equipment.
- Advising on the acquisition of the supplies and sundries business of a specialist trade supplier to the horticultural industry.
- Advising on the acquisition of digital broadcast technology assets from a radio broadcaster in administration.
- Advising a construction consortium on the sale of a group of companies and the development of the Odeon cinema in Leicester Square and surrounding property, comprising street-level restaurants and cafés, a rooftop restaurant, the refurbishment and expansion of the existing cinema and a 185 room, 5 star hotel, 34 luxury apartments.
- Acting for Merton College (now part of South Thames College) on construction contracts relating to its development of a new engineering facility at its campus at Morden Park, Surrey.
- Acting for a leading energy research analyst in his disposal to Morgan Stanley of a majority interest in a company undertaking market analysis in the oil and gas sectors to create a joint venture company producing research and energy statistics for the global oil market.
- Advising on a joint venture to satisfy the demand for large format packaging, particularly solid board and litho-laminated packaging.
- Acting for a company in its joint venture to develop providing information about international property developments to prospective funders.
- Acting for a European screen printing trade association in relation to the operation of its new trade show in Mexico. Following the acquisition of the trade show in Mexico from a Cincinnati-based publishing group, we have subsequently (and with the assistance of local lawyers), created a Mexican company to operate the show, including agreements with venues, promoters and third parties for selling exhibiting space.
- Advising a client who specialises in the manufacture of mounting equipment for attachment to retail point of sale payment technology. Advice involved re-working of distribution agreements with subsidiaries following the withdrawal of Danish investors and restructuring of the business in France.
